These terms define the minimum purchasing requirements, wholesale pricing, payment process, production schedule, customization conditions, shipping responsibilities, and brand standards governing wholesale cooperation with BYDI.
During the first calendar month of cooperation, a wholesale partner must place confirmed orders with a combined value of at least 100,000,000 VND.
Beginning with the second month, a minimum monthly purchasing value of 70,000,000 VND must be maintained for the account to remain eligible for active wholesale status.
Monthly purchasing value is calculated from wholesale orders that have been formally confirmed and fully paid within the relevant calendar month.
If the applicable minimum is not reached, BYDI may reassess the partner’s wholesale eligibility, discount level, and commercial conditions from the start of the following month.
The wholesale discount is determined by the total value of confirmed and paid orders accumulated during each calendar month.

During the first month, individual orders are paid at BYDI’s local retail price. Once the accumulated monthly value reaches a qualifying tier, the corresponding discount may be refunded to the wholesale partner or applied as credit toward a subsequent order.
From the second month onward, the agreed discount may be applied directly to each order, subject to the partner’s approved tier and ongoing purchasing performance.
A monthly order value of 70,000,000 VND preserves wholesale eligibility. The published volume discount tiers begin at 100,000,000 VND per month unless BYDI confirms alternative commercial terms in writing.
A wholesale order is considered confirmed only after BYDI has received and verified payment equal to 100% of the total order value.
No production work will begin before the full payment has cleared and the transaction has been successfully verified.
Official payment instructions and account details will be provided through the invoice or written order confirmation issued by BYDI.
Payments completed through PayPal are subject to an additional processing surcharge of 10%.
Bank fees, currency conversion costs, intermediary charges, and any other transaction expenses imposed by financial institutions are the responsibility of the wholesale partner.
Confirmed wholesale orders are non-cancellable. Any request to amend an order will be handled in accordance with BYDI’s Wholesale Return & Exchange Policy.
Production lead time depends on the selected products, total quantity, design complexity, material availability, and BYDI’s production capacity at the time of confirmation.
The estimated lead time for the applicable order will be specified in the product list, official quotation, or written order confirmation.
The production period begins on the date BYDI receives and verifies full payment for the order.
All production estimates exclude Sundays and official public holidays observed in Vietnam.
Wholesale partners are responsible for allowing sufficient time for order processing, production, international transportation, and local delivery when planning launches or providing delivery estimates to their customers.
BYDI will use reasonable efforts to complete the order within the confirmed schedule. If an unexpected delay occurs, the wholesale partner will be informed as soon as reasonably practicable.
BYDI generally discourages alterations that could compromise the intended silhouette, construction, structure, or overall design integrity of a product.
A request for moderate customization must be submitted before order confirmation and remains subject to BYDI’s technical review and written approval.
Customized products may require additional charges, minimum quantities, alternative materials, or an extended production schedule.
The specifications, pricing, and production timeline for any approved customization must be agreed separately in writing by both parties.
Customized products are final sale and cannot be returned or exchanged unless BYDI verifies a manufacturing defect or a material difference from the customization details approved in writing.
BYDI covers the transportation charge from its facility to the wholesale partner’s nominated shipping carrier within Vietnam.
Unless otherwise agreed in writing, all freight costs from Vietnam to the destination country are paid by the wholesale partner.
Customs duties, import taxes, VAT, brokerage fees, destination charges, local delivery expenses, and any other costs imposed outside Vietnam remain the responsibility of the wholesale partner.
Delivery estimates are indicative only. BYDI is not liable for delays arising from customs procedures, destination regulations, carrier disruption, or circumstances outside BYDI’s reasonable control.
Complete and accurate recipient, delivery, and contact details must be supplied and verified by the wholesale partner before dispatch.
Claims involving missing, incorrect, damaged, or defective goods must be submitted under BYDI’s Wholesale Return & Exchange Policy.
To protect consistent brand positioning and fair competition, wholesale partners must not advertise or sell BYDI products below the global retail price stated in BYDI’s current official price list.
Promotional pricing, markdowns, bundles, or special retail offers involving BYDI products require BYDI’s written approval in advance.
Deliberate undercutting of an approved retail price may result in the suspension of wholesale privileges or termination of the commercial relationship.
BYDI labels, tags, packaging, logos, and other brand identifiers must not be removed, replaced, concealed, altered, or reproduced without authorization.
BYDI products must not be copied, reproduced, reverse-engineered, materially modified, or used as references for unauthorized manufacturing.
Product designs, photography, video, graphics, logos, written copy, and other branding assets remain the intellectual property of BYDI and may not be used commercially without prior written permission.
A violation of these requirements may lead to immediate termination of cooperation and liability for losses or damages incurred by BYDI.
By approving and paying for a wholesale order, the wholesale partner confirms that they have read, understood, and accepted these Wholesale Terms & Policies.
BYDI may review or amend these terms when reasonably necessary. The version supplied or published when an order is confirmed will govern that order.
These terms are governed by and interpreted in accordance with the laws of Vietnam.
Any dispute should first be addressed through good-faith negotiation between the parties. If a settlement cannot be reached, the matter will fall within the jurisdiction of the competent courts of Vietnam.
